Truth Technologies, Inc. Acquires Assets of iDEVCO, Inc

Expands System Integration and Software Development Capabilities

Vienna, VA - January 1, 2004

Truth Technologies, Inc. (TTI), the leading provider of money laundering and fraud detection systems for financial industry and government applications, today announced its acquisition of assets of iDEVCO, Corporation, a provider of advanced and secure information technology solutions, based in Vienna, VA.

"The addition of iDEVCO’s exceptional technical talent, intellectual property, and assets moves our core product development completely in-house and will form the backbone to TTI’s system integration offerings," said Mr. Gene DeNezza, TTI’s President and Chief Executive Officer. "The addition of iDEVCO greatly expands TTI’s capabilities to provide the government and financial institutions the products and services necessary to deter and effectively respond to money laundering and fraud threats."

The acquisition will benefit the financial industry, law enforcement, intelligence and Homeland Security agencies, as well as the companies' strong base of common customers, through the integration of TTI’s CIVA™ line of product offerings with iDEVCO’s technical and system integration capabilities.

iDECVO, Inc. and TTI have had a long standing relationship that extends back as far as 2000. The asset transfer includes the transfer of all assets, contracts, and intellectual property for both iDEVCO’s Vienna, VA based US operations and iDEVCO’s Hungary, Budapest based EU operations. iDEVCO’s management and approximately 15 associates are expected to remain with TTI.

Terms of the acquisition were not disclosed.
